1. Introduction

These Terms and Conditions govern your use of the Frag Niche Perfumes website (fragniche.ae) and any services provided by Frag Niche Perfumes, operating under BFF International, located in Bahia, Ajman, United Arab Emirates. By accessing this website or engaging our services, you agree to be bound by these terms in full.

2. Services

Frag Niche Perfumes provides fragrance manufacturing services including but not limited to custom perfume development, fragrance formulation, testing and quality control, filling, packaging, labeling, sample development, and shipping. All services are subject to individual project agreements between Frag Niche and the client. Details such as pricing, timelines, minimum order quantities, and deliverables will be outlined in project specific proposals or contracts.

3. Quotes and Orders

All quotes provided by Frag Niche are valid for 30 days from the date of issue unless otherwise stated. Quotes are estimates and may be subject to adjustment based on final specifications, material costs, or changes to the scope of work. An order is considered confirmed only after written acceptance from both parties and receipt of any required deposit or advance payment as outlined in the project proposal.

4. Payment Terms

Payment terms will be specified in the individual project proposal or invoice. Unless otherwise agreed, a deposit may be required before production begins, with the remaining balance due prior to shipment. Late payments may result in delays to production or delivery timelines. Frag Niche reserves the right to withhold shipment of finished goods until all outstanding payments are received in full.

5. Intellectual Property and Confidentiality

All custom formulations developed for a client are treated as confidential and remain the intellectual property of the client upon full payment for the development work. Frag Niche will not share, reproduce, or sell client formulations to third parties without explicit written consent. Likewise, all proprietary processes, pricing structures, and production methods of Frag Niche remain our intellectual property and may not be disclosed by the client.

6. Sample Approval

Before proceeding to full production, the client is expected to review and formally approve all samples. Once the client provides written approval, Frag Niche will proceed with production based on the approved sample. Any changes requested after approval may result in additional costs and adjusted timelines.

7. Production and Delivery

Estimated production timelines are provided in good faith but are not guaranteed. Delays may occur due to supply chain issues, material availability, or other factors beyond our control. Frag Niche will communicate any significant delays promptly. Shipping and export documentation will be handled by our logistics team. Risk and ownership of the goods transfer to the client at the point of shipment unless otherwise agreed in writing.

8. Quality and Returns

Frag Niche is committed to delivering products that meet the quality standards outlined in the project agreement. If a client believes the delivered product does not match the approved sample, they must notify us in writing within 14 days of receiving the shipment. We will investigate and, where justified, offer a resolution which may include reworking, replacement, or credit. Claims made after this period or for products that have been altered, mishandled, or improperly stored will not be accepted.

9. Limitation of Liability

Frag Niche shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or products. Our total liability for any claim related to a specific order shall not exceed the amount paid by the client for that order. This limitation applies to the fullest extent permitted by the laws of the United Arab Emirates.

10. Website Use

All content on the Frag Niche website, including text, images, logos, and design elements, is the property of Frag Niche Perfumes or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use any content from this website without our prior written permission. We reserve the right to modify, update, or remove content from this website at any time without notice.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these terms or from the use of our services shall be subject to the exclusive jurisdiction of the courts of Ajman, UAE.

12. Changes to These Terms

Frag Niche reserves the right to update or modify these terms at any time. Changes will be posted on this page with a revised date. Continued use of the website or our services after any changes are posted constitutes your acceptance of the updated terms.
